# Terms of Service

### Terms of Service

The seller agreement that applies to you supplements the Marketplace
Terms and controls where they conflict on revenue share, payouts, data
rights, assignment, partner-specific liability, and termination of
partner accounts.

#### Quick answers

These summarize the agreements as of their September 2026 update. Check
the linked documents for the exact wording.

**Credits.** Credit purchases are final and non-refundable. Credits do
not expire by time, and they keep the value you bought them at even if
the list price of a credit changes later. Credits are forfeited if your
account is terminated for cause, such as a policy violation. If
Spartera closes your account without cause, you can use your remaining
credits during the 30-day notice period or receive a refund of the
unused balance. If Spartera ceases operations, credits can be used
during the wind-down period and are void after it. (Marketplace Terms
§6 and §12)

**Purchased content.** Analytics and data feed snapshots you buy are
kept for your account for as long as Spartera operates the
Marketplace, even if the product is later delisted. (Marketplace
Terms §9)

**AI and machine learning use.** Buyers may use purchased content to
train AI and machine learning models unless the product listing says
otherwise. Redistribution, resale, and sublicensing are not permitted.

**Seller earnings.** Sellers who manage their own products receive 80%
of the list price shown at the time of each sale. Spartera pays payment
processing costs and transaction taxes from its 20% share. Payouts are
made monthly once $25.00 in gross sales has accrued. Managed sellers'
terms are set in their Managed Partner Agreement. See

**Service availability.** The platform is provided "as is" and "as
available." Spartera does not offer an uptime guarantee, data escrow,
or a service continuity commitment. (Marketplace Terms §10 and §12)

**Disputes.** The Marketplace Terms are governed by Virginia law.
Disputes go to binding arbitration with the American Arbitration
Association in Fairfax County, Virginia, and include a class action
waiver. (Marketplace Terms §14)
